Article I

Executive Board Meetings

Section 1. Quarterly meetings of the Executive Board shall be called at the request of all Chairman or at the request of one-half (1/2) of its members. The Chairman may call additional meetings, as needed.

Section 2. Notice of each meeting shall be sent to all members of the Executive Board at least thirty (30) days prior to the date of the meeting. A proposed agenda must be enclosed, though this shall not limit the business that may be addressed by the Executive Board.

Section 3. Quorum for Executive Board meetings shall be all elected MFCR officers or one-half (1/2) of all Executive Board members.

Section 4. Any member which fails to be present at three consecutive Executive Board meetings will forfeit its vote on the Executive Board until it presents a letter from the club chairman stating the club is active and receives three-fourths (3/4) vote of approval by the Executive Board members.

    Part 1. This relates solely to the club's Executive Board vote and does not constitute action against the club's membership in the federation.

    Part 2. Upon the second consecutive absence of a club, the Secretary shall notify the club by registered mail, of this section. The call for the next Executive Board meeting shall be included in this mailing. No club shall forfeit its vote without having received timely notice, as defined by this article.

Article II

Definition of Officers

Section 1. The Chairman shall preside at the meetings of the Executive Board and at the Annual Convention. The Chairman shall appoint all committees and their chairman, subject to approval of the Executive Board. The Chairman shall have supervision over the development and execution of the MFCR program.

Section 2. The Vice Chairman shall assume the duties of the Chairman and serve as the State Membership Chairman.

Section 3. The Secretary shall keep the official records of the MFCR and shall record the business of all Executive Board meetings and the Annual Convention. The Secretary shall serve as State Public Relations Chairman.

Section 4. The Treasurer shall keep the official financial records of the MFCR and submit an accurate report of his records to the Chairman or any member of the Executive Board meeting a detailed statement of expenses and income with the current balance, to be included in the official minutes. The Treasurer shall also serve as the State Financial Chairman.

Article III

Amendments

These By-Laws may be amended in the same process described in Article X of the MFCR Constitution. By-Laws changes, however, shall be introduced by the Executive Board and shall be ratified by a two-thirds (2/3) vote.
