(hereinafter "Psychic").
WHEREAS, Company is in the business of operating interactive
live psychic telephone lines in which it utilizes psychics, and advertises
throughout the continental United States; and
WHEREAS, Psychic is trained in furnishing psychic readings
over the telephone and is able and willing to provide Company with these
services under the terms and conditions of this Agreement:
NOW, THEREFORE, in consideration of the foregoing and
other good and valuable consideration, the receipt and sufficiency of which
is hereby acknowledged, the parties hereby agree as follows:
1. Psychic Duties and Obligations:
A. Psychic understands and agrees that the Company
has invested enormous sums of money in the advertising and promotion of
its live psychic telephone programs and requires protection from the use
of its customers by any unauthorized operators, psychics, or outside parties.
To protect Company from any unauthorized use of its customer base, Psychic
is hereby prohibited from collecting, recording or receiving any information
from any customer of the Company for private of personal use, without prior
written authorization of the Company.
B. Psychic is prohibited from any contact with
Company’s customers whatsoever that Psychic comes into contact with pursuant
to this agreement, other than on behalf of Company pursuant to this agreement.
C. Should Psychic violate any provision of this
Agreement relating to customer contact, Psychic agrees to pay in the form
of liquidated damages, $100.00 per customer for each violation.
D. Psychic further understands the damage that
could be caused to the Company should Psychic encourage, induce, or steal
away customers, that it agrees to be enjoined by any court of competent
jurisdiction from contacting or being n contact with a customer of this
Company.
E. Psychic agrees to abide by the principles set
forth in the "Psychic Handbook" which has been provided by the company.
F. Psychic will act as follows:
(1) To act in a legal, moral, ethical manner.
(2) To not claim guaranteed results of 100% accuracy.
(3) To not encourage client dependency or pressure
a client for repeat or return calls.
(4) To not abuse a client’s trust and vulnerability
to benefit, financially, sexually, or otherwise.
(5) To not refer client to any other Psychic, person
or organization in anticipation of acquiring kickbacks or other compensation.
(6) To not give legal or medical advice to a client.
G. Non-Disclosure Agreement: To maintain the
present confidential and proprietary status of the Information, Psychic
agrees as follows:
(1) To keep all manuals and Information learned
from the Company confidential;
(2) To use the Information solely for the purpose
of conducting the Company’s business;
(3) To return the Information, and any copies thereof,
to the Company immediately upon termination of the Agreement or upon Company’s
request whichever occurs first;
2.Company’s
Responsibilities:
(A). Compensation:
To pay Psychic promptly, as required pursuant to Exhibit A of this Agreement.
Visions Of Light will not be liable for delays in payment that are caused
by Visions Of Light’s network server.
3.Termination:
This Agreement can be terminated by any party upon seven (7) days written
notice either to Psychic or Company, and at any time by Company for cause.
Cause to be defined as fraud, deceit, customer complaints, violation of
this Agreement or for inadequate untrained psychic response as determined
by the Company. All non competition and non disclosure provision
of the Agreement shall survive termination. Any and all violations
of the non competition and non disclosure provisions of this Agreement
shall subject Psychic to liquidated damages of $100.00 per violation and
Psychic will agree to an injunction by any court of competent jurisdiction
restraining Psychic from further violation of this Agreement.
4.Miscellaneous Provisions:
This Agreement a) shall be governed by and construed and enforced in accordance
with the laws of the State of California; b) may not be modified or amended
except by writing signed by all parties; c) contains the entire agreement
and subject matter hereof and supersedes all previous agreements, arrangement,
and understandings, written or oral, between the parties and e) jurisdiction
and venue shall be in the State and District of California. Any notices
to be sent hereunder shall be sent by personal delivery or by registered
mail or certified mail, return receipt requested:
If to the company, at the address set forth at the beginning of the Agreement.
If to the Psychic, at the address set forth at the beginning of Agreement.

Exhibit A.
The Psychic will be paid as an independent contractor
and is solely responsible for all Social Security, State and Federal Taxes.
