parties of this agreement, Palencia shall sign over the
rights to said Formula to the Corporation, and the Corporation

2)SHAREHOLDERS’ LOANS TO THE CORPORATION

and development of the Formula and to assit as reasonably requested
in thedevelopment and marketing of any medication containig the Formula

Webster agrees to carry out
and perform,......all duties in order to obtain financial backing for the
testing, produc ,tion marketing,and dis tribution of the Formula
and to and as reasonably requested in the
development and marketing of any medication contai ning the Formula or

Disner and Slocumb agree to
provide their legal expertise to ensure that legal require ments
are met for the testing,p roduc tion ,marketing and distribution
of the Formu la to ensure all legal requirement are met to incorporate

to locate competent counsel to
obtain patent or order legal protection for the Formula ; and to assist
as reasonably requested in the development and markenting ofany medication

4.1 The Board of Director shall

RESTRICTION OR TRANSFERS OF SHARES.

voluntarily or involutarily by operation of law

or permit the transfer of any Shares to be made on its books

transfer) unless approved by the Board of Directors .the issuee,

8 INDEMNIFICATION
Each Shareholder agrees to defend,indeminify
and hold the Corporation and the other Shareholder harm
from and agains any all claims ,demands,losses,costs,expenses,obligations,
liabilities , or damages,including,without limitation,attorneys
or other pro fessio nal fees,that are sustainded or suffered based
upon a tranfer or attempt to transfer
Shares in violation of this Agree ment or any other breach
of a covenant agreement or representation made by the Shareholder in this
Agreement.
9.Termination of Agreement.
This Agreement shall terminate
upon the first to occur of the Following :
9.1The written agreement of all
of the Parties.
9.2 The dissolution,bankruptcy
ir insolvency of the Corporation or
9.3 At such time as there
remains only one Shareholder.
10 Independent Advice of
Counsel.
The PARTIES to
this agreement represent and declare they each have been represented by
counsel of their own choice in connec tion with the negotiations
which preceded the exceution of this Agrement.The
Parties to this agrement further represent and de clare that,
in execu ting thisAgreement,they have solely upon their own judment,belief,and
Knowlegde and the advice and recom mendations of their inde pen dently
selected counsel concerning the nature.extent and duration of their
rights and claims.
11 Authoriry
Each of the Parties represents,
warrants and agrees that it has the full right
and Authority to enter into this Agreement and that the persone executing
this Agreement on its behalf has the full right and authority to fully
commit and bind such party.
12 No Presumption from Drafting
Given that all Parties hace had
the opportunity to review and edit the language of this Agreement
and consult counsel with respect hereto ,no presumption for or against
any party arising out of drafting all or any part of this Agreement will
be applied in any ac tion relating to ,connected with or involving
this Agreement.
13.Severability
If any of
the provisions of this Agreement
are found to be unlawful,void or for any other reason unenforceable,such
provi sions shall be deemed severable from, and shallin no
way affect the validity or enforceability of the remaining of this Agreement.
14,.Miscellaneous Provisions.
14.1
All parties to this Agreement,the
Corporation and each of the Shareholders, shall perform
all acts and execute all documents
reaso nably necessary to carry out the pro visiong and intend
of this Agreement.
14.2
Subject to the restricions
on the transfer of shares,this Agreement shall be binding on
the parties,hereto and inure to the benefit of each of their heirs,personal
reprensentatives, successors and assigns, No amendment or modification
of this Agreement shall be effective unless
it is in writing and signed by all parties.
14.3.
Should any provision
or portion of this Agreement
be held unenforceable or invalid for
any reason,the remainder of this Agreement Shall continue in full force
and effect.
14.4
This Agreement shall be construed
and governed by the laws of the State of California and any arbitration
or other action to en force any right pursuant hereto ( without con ceding
the propiety thereof ,in light of Paragraph 6) must be brought in los Angeles
County California.
14.5
This instrument
and the Agreements entered into pursuant to this instrument
which are exhibits hereto,constitue the soole and onlly Agreement of the
parties concerning the subject matters of this Agreement and all
prior agreement,promises,negotiations or representations concerning
said matters not expressly set forth in this Agreement
are of no force or effect.IN WITNESS WHE REOF,The parties hereto have executed
this Agreement as of the Date first above written.
