UEA - U.E.A. (OC) Students Association Limited

AIOU – AIOU (ESUS) Students Association Ltd
               (incorporated the 16th day of March 1993)

The Association is a non-profit-making body with the following objects: -

1.      To promote fraternity among members of the Association.

2.      To promote the image and enhance social recognition of members’ professional and academic qualifications.

3.      To provide career development information to members.

4.      To promote the general advancement of Science, Arts, and Business Administration for AIOU (ESUS) Students Associations Ltd.

5.      To plan and conduct conferences and meetings for discussing or lecturing on arts, science and administration.

6.      To publish and issue books, periodicals, and papers relating to arts, science and business administration, notices and announcements relating to Association affairs.

7.      To encourage and foster a spirit of friendly collaboration among its members and with members of other similar societies.

8.      To arrange visits to works of arts, science and business administration, and act on other matters relating to those aspects.

9.      To establish and maintain a library and collection of literature, films, and other material relating to arts, science and business administration principles and practices and to afford facilities for the use of the same.

10.  To organize cultural, educational, recreational and social activities for the benefits of its members.

11.  To promote the sharing of experience, furtherance of knowledge in arts, science and business administration and concern for the betterment of society amongst its members.

12.  To promote and cater for the welfare and interests of its members.

13.  To establish, undertake, superintend, administer and contribute to any charitable or benevolent fund from whence may be made donations or advances to deserving person, persons, organizations or charitable institutions.

14.  To organize institutions for the advance of social welfare and general education for the public.

15.  To promote and hold either alone or jointly with any other institute, society, club or person conferences, meetings, gatherings, exhibitions, lectures, seminars, dinners, balls, concerts and other kinds of activities deemed to be necessary by the Association.

16.  To publish pamphlets, books, magazines, films, newspapers or any other kinds of publications which may be issued locally and overseas to achieve the objects of the Association.

17.  To carry out, establish, construct, maintain, improve, manage and superintend, or to assist in the carrying out, establishment, construction, maintenance, improvement, management or superintendence of schools or other educational institutions, recreational centers, service centers, libraries, clubs, co-operatives, shops, canteens, hotels, gymnasiums, hospitals, clinics, dispensaries, orphanages, homes for the aged at a fee or otherwise, to members or to members of the public.

18.  To take necessary steps to publicize the aims, news and activities of the Association form time to time as determined by the Association.

19.  To issue membership cards for the identification of members and to issue all necessary certificates in connection therewith.

20.  To hire and employ all classes of persons considered necessary for the purposes of the Association and to pay to them and to other persons in return for services rendered to the Association salaries, wages, gratuities and pensions.

21.  To purchase, take or lease, exchange, hire or otherwise acquire any lands or buildings and any rights or privileges necessary or convenient for the purposes of the Association.

22.  To grant, sell, convey, assign, surrender, exchange, partition, yield up, mortgage, demise, reassign, transfer or otherwise dispose of any lands, buildings, messages, tenements, mortgages, debentures, funds, shares of securities which are for the time being vested in or belonging to the Association upon such terms as the Association may deem fit.

23.  To establish, promote or assist in establishing or promoting, and to subscribe to, or become a member of, or amalgamate with, any other associations or clubs whose objects are similar to, or in part similar to the objects of the Association, or the establishment or promotion of which may be beneficial to the Association.  Provided that the Association shall not support with its funds any association or institution which pays or transfers, directly or indirectly, its income and property, or any part thereof, by way of dividend, bonus or otherwise howsoever by way of profit to its members.

24.  To invest and deal with the moneys of the Association not immediately required, upon such bonds, stocks, shares and securities and in such manner as may from time to time be determined

25.  To borrow and raise any moneys required for the purpose of the Association on such terms and upon such securities of without securities as may be determined.

26.  To sell, transfer all or any part of the property of the Association in exchange of shares, debentures of other companies form time to time as the Association shall think fit.

27.  To devise schemes to raise money by means of donations or otherwise as from time to time as the Association shall think fit.

28.  To accept subscriptions, donations, devises and bequests, of any movable or immovable property or fund for all or any of the purposes aforesaid.

29.  To act as custodian, trustee or manager of any property or fund for any organizations or institutions or for members at a fee or otherwise.

30.  Any out-of-pocket expense during the formation of the Association shall be refunded.

31.  To defend any direct or indirect Action Proceedings against the Association.

32.  To open and operate banking account or accounts with any bank or banks for the purposes of the Association and for such purposes to make, give, accept, endorse, transfer, discount and negotiate bills of exchange, promissory notes, cheques or other similar instruments.

33.  To admit any persons to membership of the Association on such terms, and to confer on them such rights and privileges, as may seem expedient.

34.  To do all such lawful things as are incidental or conducive to the attainment of the above objects or any of them.
