A special general meeting of the
ZZZ Investment Club 1999 was call for in the boardroom of Cartier Partners
Financial Services at #101, 1755 West Broadway Vancouver, BC for 7:30 PM
December 12, 2002.

Members in attendance:
Denis Delong,
Garry Ingram , Leonhard Penner and Ted Lee.
By Proxy:
Yves Emond,
Francis Ingram, Marina Penner, Zhuanying Tan,
and
Yoshihito Tanaka.
| The meeting was called to order by the
Chairperson, Len Penner. 4 members present plus 5 members by proxy equal 9
members out of 13 represented. More than 2/3 of the membership presented
(69%). Quorum passed. |
| Motion to adopt the agenda that was
mailed out to membership. Motion passed. |
| Motion to adopt minutes of the AGM held
last May 27, 2002 as read out by Ted Lee. Motion passed. |
| Motion to dissolved the ZZZ Investment
Club 1999 effective December 31st, 2002. Vote count: 8 for, 0
against, 1 abstains. Motion passed for the following reasons: no one else
wanted to run for office to replace Ted Lee as Treasurer, lack of
interest, too little funds invested to make it worth the trouble to run
the club, and original objectives not being met. |
| Since the motion to dissolved the club
passed, motion to adjourn was presented. Motion passed. |

Notes:
| The present board of the
directors will resided until the wind up of the club. |
| All assets to be liquidated
as soon as possible to ensure that capital transactions to be included in
the current tax year. |
| All membership shares to be
distributed as to a special membership's value statement calculated on the
date that all shares are sold. (December 16, 2002) |
| The trading account with
Etrade Canada and the operating account with Coastal Capital Savings
Credit Union (formally Richmond Savings Credit Union) are to close on
December 31st, 2002. |
