In medium bowl, combine crumbs, nuts,sugar and butter, mix well.
Press firmly on bottom of 12x8 baking dish.
Bake 10 minutes at 350. Meanwhile in large mixer bowl, beat cheese until fluffy.
Gradually beat in Eagle Brand then remaining ingredients.
Spread evenly over prepared crust.
Bake 20 minutes at 350 or until cake springs back when lightly touched in center.
Cool.
Chill thoroughly, cut into bars.
