BY-LAWS OF ZAVICAJNI KLUB ZAPADNA BOSNA

The following are adopted as the By-Laws of Zavicajni Klub Zapadna Bosna:

1. Zavicajni Klub Zapadna Bosna is a not for profit corporation organized under the laws of Missouri. Its purposes are as expressed in its Articles of Incorporation.  It is a charitable corporation within the meaning of section 501 (C)(3) of the Internal Revenue Code and may only act consist with such status.
2. Business of Zavicajni Klub Zapadna Bosna may be conducted in the English or Bosnian languages.
3. Zavicajni Klub Zapadna Bosna shall have a seal as may from time to time be adopted by its Board of Directors.

4.  

a.)  Zavicajni Klub Zapadna Bosna shall have members.  Any resident of   Missouri or Illinois, who is of good moral character, and at least 18 years of age, may become a member of Zavicajni Klub Zapadna Bosna by payment of $10.00 per year membership dues, and by subscribing his name, address, and telephone number in the membership book kept by the Board of Directors.  Failure to pay membership dues within the year involved results in forfeiture of membership.

b.) There shall be an annual meeting of the membership, in August of each year.  The Chairman of the Board shall preside at any membership meeting.  Robert’s Rules of Order shall be used.  Any membership meeting can only be held after at least 14 days notice of the meeting has been mailed by regular U.S. Mail to the last known address of each member eligible to vote.  The date in August of the annual membership meeting shall be determined by the Board of Directors and shall be held at a location in St. Louis City or St. Louis County, Missouri.  The annual membership meeting shall elect the Board of Directors for a one year term commencing on September 1 of the year of the meeting.  The annual membership meeting is the supreme governing body of Zavicajni Klub Zapadna Bosna.  It may overrule the Board of Directors and take whatever action, including changing By-Laws, which considers necessary.

c.) A special membership shall be called by the Board of Directors on its own motion or on petition of more than half of the voting membership, to take up such issues as are designated for such meeting.  Such special meeting shall be held on at least 14 days written notice mailed to the membership and at a location in St. Louis City or St. Louis County, Missouri.

5.      a.)  The Board of Directors shall be three in number.  The Board is charged with the general governance of Zavicajni Klub Zapadna Bosna. It also elects the officers of Zavicajni Klub Zapadna Bosna.  It adopts by-laws.

b.) The Board of Directors shall meet at least monthly, at a time, date, and place determined by a majority of its members.  The Board of Directors meetings are open to the general membership.

c.) The term of each the Board of Directors is for one year and begins September 1.  In the event of the death, resignation, or removal of any member of the Board of Directors, his replacement shall be decided by the remaining members of the Board of Directors, and the replacement shall serve the remaining part of the term of the director which was vacated, unless the new director is removed by a special meeting.

d.)A member of the Board of Directors must be a general member of Zavicajni Klub Zapadna Bosna.  All members of the Board of Directors serve without compensation, but may be reimbursed their expenses on behalf of Zavicajni Klub Zapadna Bosna.

e.)A majority of the Board of Directors must be present for a quorum for a Board of Director’s meeting.

6.      a.)  The officers of Zavicajni Klub Zapadna Bosna, elected by the Board of Directors are as follows:

PRESIDENT, which officer is in charge of the date to day operations of Zavicajni Klub Zapadna Bosna, executes legal documents and contracts, and deals with the civil authorities.

VICE-PRESIDENT, which officer acts as president in the absence of the president, assists the president, and executes such legal documents and contracts as he may be called upon to by the president

SECRETARY, keeps the seal, papers, and correspondence of Zavicajni Klub Zapadna Bosna.  Prepare minutes of the meetings of the Board of Directors and the Annual and Special General Membership Meetings, and attest to the authenticity of documents and resolutions.

TREASURER, receives the monies of Zavicajni Klub Zapadna Bosna; prepares checks and drafts for the valid expenditures of Zavicajni Klub Zapadna Bosna, keeps the financial records of Zavicajni Klub Zapadna Bosna in good order.

b.)    No person may hold more than two offices at the same time.

c.)     All checks and drafts of Zavicajni Klub Zapadna Bosna must be executed by at least two different officers who are two different persons.

d.)    At least every two years, the financial books of Zavicajni Klub Zapadna Bosna shall be audited by a Certified Public Accountant appointed by the Board of Directors.

e.)     All officers must be members of Zavicajni Klub Zapadna Bosna.

f.)      Such assistant officers may be appointed, as determined by the Board of Directors.

7.  Any powers not specifically outlined herein shall be exercisable by the Board of Directors, or the annual or special membership meetings.  

ATTENTION:  According to decision made by the Board of Directors, membership fee is raised to $12.00 in 2005.
